We at POPtech Growth Private Limited (“our”, “us”, “we”, “Company”, or “POPtech Growth Private Limited”) offer multiple services and products to our customers/users (“you" or “user”) through our website, mobile application and other channels (collectively “Platform/ POP”). Please read these terms of use (“Terms”) carefully before you use any portion of the Platform as they constitute the agreement between you and us regarding the use of the various products and services on the Platform. For your ease of reference, these Terms have been divided into various sections to address product and service specific terms and conditions. However, by using the Platform, you hereby agree and accept to be bound by all the Terms herein which shall be read as a whole. We may revise these Terms as well as update the Platform and the products and services offered thereon, from time to time, so you should visit this page often to check for updates. If you do not agree with any part of these Terms, please stop using the Platform immediately. If you have any queries or concerns regarding these Terms, please contact our Grievance Officers as per the details provided in these Terms. This document is an electronic record in terms of Information Technology Act, 2000, amendments thereof from time to time and the rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

The Platform is owned by Poptech Growth Private Limited, a company incorporated under the Companies Act, 1956 with its registered office at B/902, Anmol Tower, Off S.V.Road, Goregaon West, Mumbai, Maharashtra - 400104 and corporate office at 4th Floor, Building 1515, Urban Vault, 19th Main road, Vanganahalli, 1st Sector HSR Layout, Bengaluru, Bengaluru Urban, Karnataka - 560034.

GENERAL

These general terms shall be applicable to all products and services offered by us, unless otherwise specified in the product/service specific terms and conditions included herein. In the event of any conflict, the terms of the product/service specific terms and conditions shall prevail.

1. Eligibility To Access The Platform And Avail The Products And Services

1.1 By signing up on the Platform or availing any of the products or services made available therein, you agree that you are either 18 years of age or older or possess legal parental or guardian consent, and that you are fully able and competent to understand and accept these Terms as a binding act and to abide by these Terms and all other applicable rules and policies of the Company. If you are younger than 18 years of age you require the consent of your parents or legal guardians for using the Platform and by accessing the Platform, you agree that your parent or legal guardian has consented to your use of the Platform and have agreed to provide their details as required for registration on the Platform. If your parent or legal guarding does not consent to your use of the Platform or to create an account in their name and you are under 18 years of age, you shall not use the Platform.

1.2 To the extent permitted under applicable law, the Company rejects and declines any responsibility regarding any activities conducted by a person under 18 years of age without the permission of a parent or legal guardian. If you are a parent or legal guarding and you give your consent or permission for your child to access the Platform, you thereby agree to these Terms.

1.3 The Company may provide certain buy-now pay-later, delayed payment, payments on credit or other payment-related services in collaboration with third parties. Please note that all such products and arrangements are provided by such third parties and the Company does not assume any responsibility for the same. Such third parties may provide or decline to provide such services on their own terms, requirements and conditions. Any such service is availed by you at your own risk and consequence and you acknowledge that the Company does not guarantee or assume any liability in connection with such service. In case of any claims against the Company by such third party on account of your acts and omissions, you shall defend, indemnify and hold harmless the Company from any losses, charges and damages incurred by the Company. Without prejudice to the foregoing, you agree that the Company may impose charges for use and access of such third party services, however, the imposition of such charges will not result in any liability or responsible for the Company for such services. Any such charges imposed by the Company are non-refundable and are solely for enabling access and usage of such services.

2. Privacy Policy

These Terms also include the Privacy Policy provided at https://popclub.co/privacy-policy relating to the collection, use and disclosure of your information. Please read the Privacy Policy carefully. By accessing the Platform, you hereby consent to be bound by the Privacy Policy.

3. Restricted Content

3.1 You shall not host, display, upload, modify, publish, transmit, update or share any information which:

a) belongs to another person and to which You do not have any right to;

b) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;

c) involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";

d) promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;

e) infringes upon or violates any third party's rights including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity;

f) contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);

g) provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

h) contains video, photographs, or images of another person (with a minor or an adult)’

i) tries to gain unauthorized access or exceeds the scope of authorized access to the platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;

j) interferes with another user’s use and enjoyment of the platform or any other individual’s user and enjoyment of similar services;

k) infringes any patent, trademark, copyright or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products;

l) violates any law for the time being in force;

m) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;

n) shall not be false, inaccurate or misleading; and

o) shall not create liability for us or cause us to lose (I; and whole or in part) the services of our internet service provider ("ISPs") or other suppliers.

3.2 Further, you shall not:

a) use the Platform for any unlawful and fraudulent purposes, which may cause annoyance and inconvenience and abuse any policy and rules of the Company and interrupt or causes to interrupt, damages the use by other users of POP.

b) Use any false e-mail address, impersonate any person or entity, or otherwise mislead us by sharing multiple addresses and phone numbers or transacting with malafide intentions.

c) Attempt to gain unauthorized access to any portion or feature of the platform, or any other systems or networks connected to the platform or to any server, computer, network, or to any of the services offered on or through the platform, by hacking, password "mining" or any other illegitimate means.

d) Pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

e) use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the platform or any content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the platform. We reserve our right to bar any such activity.

3.3 You shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable Indian laws, rules and regulations (including the provisions of any applicable exchange control laws or regulations in force) and you shall not engage in any activity on the Platform, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.

5. Changes

We may from time to time change these Terms or any portion thereof. We may assign or transfer our agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer. We recommend that you periodically check this page for any revised terms. Your continued use of the Platform will be deemed to constitute your acceptance of all such revised terms.

POP's Terms are available in 22 offically scheduled languages namely⁠ ⁠Assamese, Bengali, Bodo, Dogri, Gujarati, ⁠Hindi, ⁠Kannada, Kashmiri, Konkani, Mathilli, Malayalam, Manipuri, ⁠Marathi, ⁠Nepali, Odia, Punjabi, Sanskrit, ⁠Santhali, Sindhi, Tamil, Telugu, Urdu, as mentioned in the Indian constitution. 7. Governing Law

6.1 These Terms and the relationship between you and POPtech Growth Private Limited shall be governed in accordance with the laws of India without reference to conflict of laws principles.

6.2 All claims, differences and disputes arising under or in connection with or in relation to the Terms or any transactions entered into on or through the Platform, any services availed on the Platform or the relationship between you and POPtech Growth Private Limited shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra and you hereby accede to and accept the jurisdiction of such courts.

E-COMMERCE

POP is an application which provides an online marketplace where registered vendors can offer to sell their products to the registered user of POP. These Terms & Conditions apply to products purchased via the Platform, placed through our social media, or offline on the phone or on chat or through our Customer Delight Team..

Please read the Terms & Conditions carefully before purchasing any products or availing any services on any asset of POPtech Growth Private Limited. Any purchase made by you through the Platform or through any other asset shall signify your acceptance of the supply terms and your agreement to be legally bound by the same. In addition to the foregoing, you shall also be bound by the terms of use of the Platform, Privacy Policy, terms by the vendor or additional terms of service which are displayed with the selection of the product, if any (“additional terms”). If there is any conflict between the supply terms and the additional terms, the additional terms shall take precedence in relation to that sale.

If you do not agree with the supply terms, please do not access the Platform or any other asset of POPtech Growth Private Limited for any purchase or service.

The Platform uses regular industry standard technology designed to help keep your personal information safe. The Secure Server Software (SSL) encrypts all information you put in before it is sent to us. Furthermore, all of the customer data we collect is protected against unauthorized access. To prevent unauthorized access, maintain data accuracy, and to ensure correct use of information, we will employ commercially reasonable and practicable security practices and procedures, and security methods and technologies. We will also ensure on reasonable commercial efforts that any agent or third party that we employ complies with the same security standards as us for the protection of your personal information.

Your information may be transferred to or be maintained on computers, computer systems and computer resources located outside of your state or country where the privacy laws may not be as protective as those where you live. If you are located outside India and choose to provide information to us, please be aware that the Platform keeps or transfers information to India and processes it there. Your submission of such information represents your agreement to that transfer.

Unfortunately, the transmission of information over the internet is not completely secure. Although we strive to protect your personal data, we cannot guarantee the security of your data while it is being transmitted to our site; any transmission is at your own risk. Once we have received your information, we have commercially reasonable procedures and security features in place to reasonably endeavour to prevent unauthorized access.

Some content offered on the platform may not be suitable for some users, viewer discretion is advised. Also, some content offered on the platform may not be appropriate for viewership by children. Parents and/or legal guardians are advised to exercise discretion before allowing their children and/or wards to access content on the platform.

If you use the platform, you shall be responsible for maintaining the confidentiality of your display name and password and you shall be responsible for all activities that occur under your display name and password. You agree that if you provide any information that is untrue, inaccurate, not current or incomplete, we shall have the right to indefinitely suspend or terminate or block access to your membership on the platform.

You agree to:

a) Immediately notify us of any unauthorized use/breach of your password or account and

b) Ensure that you exit from your account at the end of each session.

1. BUSINESS

1.1 The Company provides the Platform  only to facilitate the online sale of products by seller and purchase of products by registered user. The Company’s oligation is limited to Platform, facilitating the payments between the seller and users, management of orders, queries and other allied activities between the seller and the user (“Services”).

1.2 The Company has the right to change or discontinue any service at any time, without notice. We may add or modify the procedures, modes, processes or conditions of purchase at any time. We shall not be liable to you or to any third party for any modification, suspension or discontinuance of any aspect of the services.

1.3 You should take all responsibility for your own actions in utilizing the products and/ or services purchased by you via the Platform; We shall not be liable for any consequences of your use of such products and/ or services.

1.4 You represent that you are of legal age to form a binding contract and are not a person barred from receiving the products and/ or services under the laws as applicable in India.

2. PRICING INFORMATION AND OTHER INFORMATION

2.1 The pricing information relating to the product shall be disclosed to you at the time of your purchase.

2.2 The Company does not guarantee that the price of the products and/ or services will be the lowest in the city, region or geography. Prices and availability of the products and/ or services are subject to change without notice or any consequential liability to you.

2.3 While We strive to provide accurate information relating to products, services including pricing information, typographical and other errors may occur. In the event that a product or service is listed with incorrect price or with incorrect information due to an error, the Company may, at its discretion, either contact you for instructions or cancel your order and notify you of such a cancellation.

2.4 In the event of discrepancy in the price of the product or services listed/ ordered by you from the Platform, the Company reserves the right to modify the price of the product or services and contact you for further instructions via the e-mail address provided by you at the time of registration or cancel the order and notify you of such a cancellation, at its sole discretion. If the Company cancels the order after your payment has been processed, the entire amount of such cancelled order will be remitted back to the source of your payment.

2.5 The Company undertakes no obligation to update, amend or clarify information in the Platform, including but not limited to product information published by seller, pricing information, typographical error, except as required by law. Any use of information obtained by you through the Platform is at your own risk. The Company does not guarantee the completeness, accuracy, or reliability of any information or communications posted on the Platform.

3. CREDIT CARD DETAILS

You might be required to provide your credit or debit card details to the approved payment gateways while making the payment. In this regard you agree to provide correct and accurate credit/debit card details to the approved payment gateways for availing services on the Platform. You shall not use a credit/debit card that is not lawfully owned by you. The information provided by you will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation or court order. You will be solely responsible for the security and confidentiality of your credit/debit card details. The Company expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of your credit/debit card. Product The Company enables the sale of a variety of products listed by the sellers on the Platform being a marketplace. Shipping of all the products basis user’s orders on the Platform shall be as per the Company’s policy, which may be changed from time to time. 4. PRODUCT

4.1 The Company enables the sale of a variety of products listed by the sellers on the Platform being a marketplace. Shipping of all the products basis user’s orders on the Platform shall be as per the Company’s policy, which may be changed from time to time.

4.2 In case you receive a damaged product, please get in touch with our Customer Delight Team on hello@popclub.co. Damage will be assessed and a solution will be offered. The product may be replaced or other corrective measures may be taken  to address the issue. The decision taken by the Company in this regard shall be  final and binding on the customer.

4.3 In an unlikely event of the ordered product is out of stock pursuant to your purchase; our Customer Delight Team will get in touch with you and a refund request will be raised.

5. DELIVERY OF THE PRODUCT

Your shipping address and pin code will be verified with the database of the Company before you proceed to pay for your purchase. If your order is not serviceable by delivery partners, vendors, or if your location is not covered by Us, we would request you to provide us with an alternate shipping address which we expect to have on our delivery partner’s/vendor’s delivery list. If there is any dispute regarding the shipment of the products or services for the area not covered by us, We will not be held responsible for the non-delivery of the product or services. In case you book multiple orders for the products and/ or services in one transaction, efforts will be made to ship all products and/ or services together. However, this may not always be possible. In case of any erroneous address selected by the customer, the customer shall be solely responsible for the consequences of the same.

6. RETURN POLICY FOR PRODUCTS

6.1 Our returns and exchange policy gives you an option to return or exchange items purchased on the Platform for any reason within the specified return/exchange period as per the return or exchange policy of the product provided in the product details page of each product. We only ask that you don’t use the product and preserve its original condition, tags, and packaging. You are welcome to try a product but please take adequate measures to preserve its original condition.

6.2 During pick up, our delivery agent may do a quality check on the returned product. For a successful pick up, we will initiate a refund after the product has been received at our warehouse and has passed a quality check. If the picked up product does not pass the quality check, we shall ship it back to you. If you choose to exchange the item because of a mismatch of size or receipt of a defective item, you will be provided with a replacement of the item, free of cost. However, all exchanges are subject to stock availability and subject to your address being serviceable for an exchange. If you choose to exchange an item, our delivery representative will deliver the new item to you and simultaneously pick up the original item from you.

6.3 The following EXCEPTIONS and RULES apply to this policy:

a) Cosmetics, beauty and personal care products, socks, deodorants, perfumes, briefs, shapewear bottoms, any lingerie set that includes a brief, swimwear, mittens, wrist-bands, made to order products, food and beverage products cannot be exchanged or returned.

b) Some products like fine jewellery, watches and selected products which are susceptible to damage can only be returned/exchanged for a limited number of days. Certain products can only be exchanged and not returned. Please read the return or exchange policy of the product provided in the product detail page of each product to see the return or exchange policy, if applicable, number of days upto which a product can be returned/exchanged, post-delivery.

c) All items to be returned or exchanged must be unused and in their original condition with all original tags and packaging intact (for e.g. shoes must be packed in the original shoe box).

6.4 The Company will not be liable for the products returned by  mistake. In circumstances where an extra or a different product is returned by You by mistake, We would not be accountable for misplacement or replacement of such product and We are not responsible for its delivery back to the user.

SHIPPING, DELIVERY AND CANCELLATION

Please see terms relating to shipping, delivery and cancellation on the Platform.

8. PRIORITY SHIPPING

8.1 Priority shipping service may be available to user on certain product listed on the Platform. The user shall select such services at the time of placement of order on the Platform, as available. Priority shipping service will be available to users at an additional cost over and above the product and shipping costs. Such additional costs may vary based on the product and the pin-code where the product is required to be shipped.

8.2 This is a service that may be offered only on selected products and pin-codes which can be confirmed by our Customer Delight team on support@popclub.co.

8.3 In case of unlikely circumstances of a delay in the delivery of the ordered product for reasons beyond Our control, We will not be liable for the same.

8.4 If We are unable to fulfil the priority shipment in a timely manner, the additional fee charged towards priority shipment will be refunded directly in your POP user account in the form of a POP store credit or to the source of payment.

9. COMPENSATION POLICY, REFUND POLICY AND CONVENIENCE FEE

9.1 If the quality of any products purchased by you through the Platform did not meet your expectations, no compensation will be provided to you other than an option to return of the product for refund of product value to your source of payment  or exchange of the product as per the return or exchange policy declared on the product detail page on the Platform. The customer cannot request compensation for any reason, including but not limited to: any variation in the finish or appearance of the final product; any delay in delivery caused by unforeseen circumstances; any special, incidental, indirect or consequential damage of any kind caused by a product; missed opportunities to avail certain discounts; any issue with our delivery partners or their personnel; any voucher which got deactivated due to the end of expiry date; unavailability of items which the customer tried to purchase etc. Unreasonable and unlawful requests for compensation, over and above the entitled refund, will be treated as loss to business cases. The Company holds the rights to cancel orders and block accounts of such customers without any prior notice.

9.2 For paid orders, the refund will be processed to (i) the source of the payment within seven (7) to ten (10) working days from (a) date of cancellation for products that are undelivered or (b) the date of return of the product subject to qualifying the return quality check.       Refund to source of payment shall be made in Indian Rupees only being equivalent to the amount received by Us for such order(s), subject to deduction of delivery fee, if applicable.

9.3 For Cash On Delivery (COD) payments, in case of cancellations or returns initiated before payments have been made, there will be no refund given as no payment has been received by Us. In case payments were received by Us, we shall refund the same to the source declared by the customer. We shall hold no responsibility in case the source declared by the customer is erroneous.

9.4 A convenience fee of INR. 49/- will be applicable on the orders under the value of INR. 199/-. Order value is calculated after applying product discounts excluding  GST or any other applicable charges.

10. WARRANTIES AND CLAIMS FOR PRODUCTS

10.1 The Company does not implicitly or explicitly support or endorse the sale or purchase of any products nor provide any warrantee/guarantee of the products sold to Users, and in no event shall such products be the responsibility of Company. Company is not liable for any harm or damages related to the purchase or use of products and services purchased via the Platform.

11. PRODUCT SPECIFIC INDEMNIFICATIONS AND LIMITATION OF LIABILITY

11.1 You agree to indemnify, defend and hold harmless POPtech Growth Private Limited from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by POPtech Growth Private Limited that arise out of, result from, or may be payable by virtue of, any breach of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these terms or any additional terms applicable to the purchase of products and/ or services.

11.2 In no event shall POPtech Growth Private Limited and its officers, directors, employees, partners or vendors be liable to you, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not POPtech Growth Private Limited has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with your purchase of the products and/ or services herein. Notwithstanding anything to the contrary, POPtech Growth Private Limited’s entire liability to you under this Terms or otherwise shall be limited to the refund of the money charged from you for such orders, under which the unlikely liability arises.

11.3 All commercial/contractual terms are offered by and agreed to between Buyers and Sellers alone. The commercial/contractual terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services and after sales services related to products and services. The Company does not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between the Buyers and Sellers.

11.4 The Company does not make any representation or warranty as to specifics (such as quality, value, salability, etc) of the products or services proposed to be sold or offered to be sold or purchased on the Platform.

11.5 The Company is not responsible for any non-performance or breach of any contract entered into between Buyers and Sellers. The Company does not guarantee that the concerned Buyers and/or Sellers will perform any transaction concluded on the platform.

11.6 At no time shall the Company hold any right, title or interest over the products nor shall the Company have any obligations or liabilities in respect of such contract entered into between Buyers and Sellers.

11.7 The Company is providing only a Platform that can be utilized by users to reach a larger base to buy and sell products or services. The Company is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Seller and the Buyer. At no time shall the Company hold any right, title or interest over the products nor shall the Company have any obligations or liabilities in respect of such contract. The Company is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

11.8 Pricing on any product(s) as is reflected on the Platform may due to some technical issue, typographical error or product information published by the seller may be incorrectly reflected and in such an event, the seller may cancel such your order(s).

11.9 You release and indemnify the Company and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the users of the POP and specifically waive any claims that you may have in this behalf under any applicable law. Notwithstanding its reasonable efforts on its behalf, the Company cannot take responsibility or control the information provided by other users which is made available on the Platform.

12. USER CONDUCT & RULES ON THE PLATFORM

12.1 An user may be considered fraudulent or loss to business due to fraudulent activity if any of the following scenarios are met:

a) Users doesn't reply to the payment verification mail sent by the Company.

b) Users fails to produce adequate documents during the payment details verification.

c) Misuse of another user's phone/email.

d) Users uses an invalid address, email and phone no.

e) Overuse of a voucher code.

f) Use of a special voucher not tagged to the email ID used.

g) Users returns the wrong product.

h) Users refuses to pay for an order.

i) Users involved in the snatch and run of any order.

j) Miscellaneous activities conducted with the sole intention to cause loss to business/revenue to the Company.

k) User with excessive returns.

l) Repeated request for monetary compensation for fake/used order.

12.2 The Company may cancel any order that classify as 'Bulk Orders'/'Fraud orders' under certain criteria at any stage of the product delivery. An order can be classified as 'Bulk Order'/'Fraud Order' if it meets with the below mentioned criteria, and any additional criteria as defined by the Company:

a) Products ordered are not for self-consumption but for commercial resale

b) Multiple orders placed for the same product at the same address, depending on the product category.

c) Bulk quantity of the same product ordered

d) Invalid address given in order details

e) Any malpractice used to place the order

f) Any promotional voucher used for placing the 'Bulk Order' may not be refunded

g) Any order paced using a technological glitch/loophole.

12.3 The Company does not facilitate business to business transactions between Sellers and business customers. You are advised to refrain from transacting on the Platform if you intend to avail the benefits of input tax credit.

12.4 You shall be required to ensure compliance with all applicable domestice and international laws, foreign exchange laws, statutes, ordinances and regulations (including, but not limited to Sales Tax/VAT, Income Tax, Octroi, Service Tax, Central Excise, Custom Duty, GST, Local Levies as applicable) regarding your use of Our services and your listing, purchase, solicitation of offers to purchase, and sale of products or services.

12.5 We, on certain landing pages, even allow our users to experience free exchange of ideas and observations regarding interest in the field of fashion, including ‘viewing user generated content’ and/or ‘videos’ and ‘posting comments’. By accessing, viewing and/or posting any user generated content to any specific dedicated page on the Platform, you accept and consent to the practices described in these ‘Terms of Service’ and ‘Privacy Policies’, as well as any other terms prescribed by the  Company on the Platform. You agree and undertake that when accessing, viewing and/or posting any user generated content on these pages You will not imitate, abuse, harass, any customer/user or violate and exploit any of these ‘Terms of Service’ of the platform.

12.6 From time to time, you shall be responsible for providing information relating to the products or services proposed to be sold by You. In this connection, You undertake that all such information shall be accurate in all respects. You shall not exaggerate or over emphasize the attributes of such products or services so as to mislead other users in any manner.

12.7 You shall not engage in advertising to, or solicitation of, other users of the platform to buy or sell any products or services, including, but not limited to, products or services related to that being displayed on the platform or related to us.

12.8 The content posted does not necessarily reflect our views. In no event shall the Company assume or have any responsibility or liability for any content posted or for any claims, damages or losses resulting from use of content and/or appearance of content on the platform. You hereby represent and warrant that You have all necessary rights in and to all content which You provide and all information it contains and that such content shall not infringe any proprietary or other rights of third parties or contain any libelous, tortious, or otherwise unlawful information.

12.9 The Company hereby disclaims any guarantees of exactness as to the finish, appearance, size, color etc., of the final Product as ordered by the User. Our Return & Exchange Policy offers you the option to return or exchange items purchased on POP within the return/exchange period (Please read the Product Detail Page to see the number of days upto which a product can be returned/exchanged, post-delivery). In case of return or exchange of the purchased item, please refer to the "Return and Exchange Policy" available on https://popclub.co/faq#returns

12.10 Please note that you can only use POP store credits to buy products from your registered account on the Platform. POP store credits cannot be:

a) Used for payment of orders placed from other POP user account(s).

b) Transferred to any other POP user's account, bank account, or wallets, etc.

12.11The Company may unilaterally terminate your account on any event as mentioned in the Terms under the User Conduct & Rules on the Platform. Any POP store credits earned as goodwill compensation, earned via loyalty or referral program or promotional campaigns or earned through gift cards purchased on other platforms will be forfeited in such cases.

13. VERIFICATION POLICY

We always strive hard to provide the best experience to our customers. However, we have noticed that few accounts abuse our customer friendly policies. Therefore, please ensure that the details you provide us are correct and complete and inform us immediately of any changes to the information that you provided while registering. The Company verifies the registered mobile phone number to ensure important communication about orders and shipments are reaching our customers. We reserves the right to disable any cash on delivery option for orders placed from accounts that fail the mobile number verification process. It is your responsibility to ensure that your registered mobile phone number is up to date on the Platform at all times. You agree to notify Us promptly if your mobile phone number changes by updating the same on the Platform through an OTP verification. Loyalty Program Upon sign-up on the Platform, the customer agrees to be enrolled in the loyalty program of the Platform. Under the POP loyalty program, the enrolled user will be able to earn virtual POPcoins in accordance with the Terms. Each enrolled user on purchase of specified products on the Platform will earn POPcoins into the user’s POP account, as may be determined by the Company from time to time. The Company shall at its sole discretion identify products eligible for users to earn POPcoins and notify the users/ tag and/or use other indicators, as determined by the Company, on such products from time-to-time. The criteria of the value of the POPcoins that could be earned by one user to another user on a specific product on the Platform may vary depending upon the factors and criteria as determined by the Company at its sole discretion. POPcoins will be credited in your POP account only after the expiry of the return or exchange period of the specified products. In the event that replacement of any of the specified products is requested by the user, POPcoins will be credited to the user’s account, only after the expiry of the return or exchange period of such replaced products. Enrolled user upon receipt of POPcoins onto his/ her POP account shall be eligible to redeem POPcoins on the Platform as determined by the Company from time to time. The user may redeem the POPcoins on the Platform to avail discount on user’s subsequent purchase of products on the Platform. The maximum amount POPcoins that can be redeemed by the user on each such subsequent purchase shall be solely determined by the Company basis the cart value and other criterias. In the event when the user cancels or returns the entire order of the products purchased redeeming the POPcoins, the entire value of such POPcoins redeemed on such order shall be returned and credited to the user’s POP account. In the event, when the user cancels or returns only certain purchased products for which the user has redeemed POPcoins, then, the proportionate value of POPcoins that were redeemed on such returned or cancelled products, as applicable, shall be returned and credited to the user’s POP account. The validity of returned and credited POPcoins shall remain unchanged and have the same validity period as applicable on the date of original credit of such POPcoins. The POPcoins can be redeemed by the user (i) for purchase of products on the Platform and (ii) to avail discounts on third-party website/ mobile application authorized by the Company from time-to-time. The terms of usage of POPcoins on third-party website/ mobile application are governed by terms and conditions of such third-party website/ mobile application and we are not liable for any claims arising therefrom in any manner whatsoever. The users can view the particulars of the POPcoins in their user account which includes the status of active/ expired POPcoins, transactions records amongst others. You acknowledge that POPcoins are non-transferrable and cannot be converted to cash or any material or anything of monetary value. You further acknowledge that the POPcoins earned vide the loyalty program can only be used to avail additional discounts on user’s subsequent purchase(s) or as per these Terms and cannot be solely used for purchase of products on the Platform in lieu of cash. POPcoins credited to your account will expire after one (1) year from the date on which they were credited to your POP account, unless specified otherwise. The value of expired POPcoins will be reduced from the user’s POP account at the date of expiry of such POPcoins. The expiry period of POPcoins shall remain unaffected on account of returns/ cancellations of the products purchased by users redeeming POPcoins. The Company reserves the right to disqualify you from earning/ using any POPcoins if any fraudulent activity or abuse of the POPcoins and/ or loyalty program system is identified or if you have violated any Terms or applicable laws and in such event, we may blacklist your POP account. Disqualification may result in immediate cancellation of all POPcoins earned or pending to be earned by you on your POP account, without any liability whatsoever on the Company. The decision of the Company with respect to disqualification shall be final and binding on the user. The Company reserves the rights to amend, modify the terms of use of POPcoins, the loyalty program or suspend POPcoins / POP membership at any time, without notice and without assigning any reason. We disclaim all liability that may arise or any losses that you may incur in connection with or arising out of the loyalty program/ POPcoins. They also provide consent to be approached via different channels of communication by the Company. The customer grants permission to the Company to be reached out to them via appointed agencies or representatives as the case may be. The customer also accepts the privacy policy of the platform once they sign up on the Platform.

14. TERMS FOR OFFERS, PROMOTIONS, CONTESTS

14.1 POPtech Growth Private Limited shall introduce various offers, promotions, contests from time to time. The terms & conditions for these shall be separately called out and the Company reserves the right to change/modify/add/delete any of terms & conditions of such contests or promotions at its sole discretion at any time without prior intimation.

14.2 This contest is void where prohibited by law.

UPI

1. INTRODUCTION

1.1 If you are availing the Unified Payments Interface (“UPI”) services on the Platform, please ensure that you have read and understood these terms and conditions.

1.2 The UPI is a payment platform built by National Payments Corporation of India (“NPCI”) that allows instant online payments between the bank accounts of any two parties. UPI offers an architecture and a set of standard API specifications to facilitate these online payments. The Company is a Third-Party Application Provider (“TPAP”) authorized by the NPCI to facilitate instant online payments through our sponsor Payment Service Provider (“PSP”) bank(s) on the UPI payment platform (“POP UPI”). POP UPI is an online payment service facilitator that allows you to make and receive payments using your bank accounts.

1.3 We are a service provider in the UPI payment ecosystem, and participate in UPI through the PSP Banks, namely Yes Bank Limited.

2. REGISTRATION

2.1 You may use POP UPI services only if you are a resident of India, hold an active and authorized bank account with a participating bank, and if your bank account is linked to your mobile number. In order to use POP UPI, you must create a profile with us through our mobile application POP App (“App”). The registration process for POP UPI is standardized and governed by the NPCI. We, as a TPAP, are responsible for implementing the process as notified by the NPCI which may undergo changes from time to time.  

2.2 You will need a mobile, internet or any other supported device that meets certain system and compatibility requirements, which may change from time to time to use POP UPI. Your ability to use POP UPI and the performance of the App may be affected by these factors. You agree that you are responsible for such requirements, including any applicable changes, updates, fees and all other terms provided under your agreement with your mobile device and telecommunications provider and we shall not be responsible for any claims arising as a result of the same.

2.3 You understand that the registration process may include access to Your mobile network and sending a unique SMS using your phone to verify, validate, register and link your bank account and/ or Rupay credit card on POP Platform and create a unique Virtual Account Number (“VPA”) i.e. your UPI identification number. Please ensure that correct and up to date information is provided and any errors or ommissions on your part may hinder the creation of the VPA.

2.4 We do not store any account related information such as bank account number or credit card number when creating the VPA. The personal information shared by you as part of the POP UPI registration process, including your banking information, will be shared and stored in a secure database by our PSP bank(s) and the NPCI. For utilizing the POP UPI services you consent to allowing us to fetch information in relation to bank accounts linked to your mobile number and to enabling PSP bank(s) and NPCI to store such information for enabling UPI services. We shall ensure that all your confidential data pertaining to your transactions, bank account details, and all other sensitive personal information are protected and kept confidential by employing best available protection standards, which are more fully set out in our Privacy Policy.

2.5 Once registered you can utilize the UPI services on the App such as initiating UPI transactions, checking account balance, setting UPI PIN for bank accounts, reset/change UPI PIN, link up to a maximum of 3 bank accounts to POP UPI, and set primary account.

2.6 In case you are re-linking an already enabled VPA with another bank account that is previously linked by you on the App, we retain the exclusive rights to assign each unique VPAs to each bank accounts linked by you on the App, by providing a prior intimation to you in this regard via the App. You can view your VPAs under the “UPI ID section under UPI Profile section which is a part of the My Profile section” of the App.

2.7 You further agree and specifically consent to us onboarding you on the centralised mapper operated by the NPCI (i.e., the Numeric UPI ID Mapper) and any other databases as the NPCI may require and notify from time to time. The ‘UPI Number’ will be your registered mobile number by default, and by agreeing to allow the onboarding of your UPI Number to the centralised mapper(s) of the NPCI, you will be able to send and / or receive funds on the App using your ‘UPI Number’. The onboarding process will be in accordance with the NPCI’s guidelines and directions. You understand and agree that we are entitled to act as per the instructions of the NPCI, which includes (without limitation) sharing your UPI details with the NPCI and linking your primary bank account or your VPA to your ‘UPI Number’. Once onboarded in the centralised mapper(s), you will be able to use your UPI Number to send and / or receive funds. You may choose to delink the default mapping of your UPI Number at any time by visiting UPI Number section under UPI Profile in My Profile section on the Platform.

3. HOW TO USE POP UPI

3.1 POP UPI enables you to make payments to individuals or to businesses for buying products and services online or offline. You can use your POP UPI to scan QR codes at merchant locations via the App and make payments.

3.2 Your UPI PIN needs to be entered on Your mobile to authorize every POP UPI payment. You must also ensure that you have a strong and stable internet connection to enable the UPI payments to be processed. All transactions are also subject to approval of the PSP bank(s).  

3.3 UPI transactions are subject to minimum and maximum transaction limits that may be set by us as per instructions of our PSP bank(s), User, NPCI or as may be prescribed under the provisions of applicable law. As the UPI ecosystem involves various entities including various banks, all transactions may be subject to the policies and limits as set out by such entities.

3.4 Our PSP bank(s) reserve the right to reject, block or suspend any transaction initiated by you through POP UPI if there is any suspicion that you are involved in fraudulent or illegal activities.

3.5 Your transaction records can be reviewed within the POP App – “Transaction history” section on My Profile page. You are required to review all transactions and in case you identify any error or unauthorised transaction, you are requested to notify this as per the Dispute Redressal Mechanism set out in para 7 hereinbelow.

4. CHARGES

4.1 We do not charge any fee for registering on the App or usage of the POP UPI services, however, we reserve the right to change the fee policy from time to time, subject to applicable laws. We may introduce fees for any new services or amend/introduce fees for existing services, as the case may be. All such changes shall be displayed on the App and shall become applicable from the date on which such fees are introduced and displayed on the App.

4.2 Your bank may charge you a nominal transaction fee for UPI transfers- please check with your bank for any such charges.

5. USER RESPONSIBILITY & OBLIGATIONS

5.1 While You register and transact using POP UPI, You are required to ensure the following –

a) You are solely responsible for ensuring that your bank account is linked to your registered mobile number on your POP UPI account.

b) It is your responsibility to ensure that your POP UPI account is secure and your bank account details and UPI PIN are not shared with anyone. We will never approach you for your UPI PIN. Sharing such information with others may lead to unauthorized usage, for which we shall not be responsible.

c) You are solely responsible for all payments made using POP UPI. Please ensure that the QR codes and VPs of the intended recipient(s) are complete and accurate. We will not be responsible for any losses that you may incur as a result of your own errors.

d) Please ensure that there are sufficient funds maintained in your bank account linked to POP UPI to avoid error/incomplete transactions.

e) You agree that if you provide any information that is untrue, inaccurate, not current or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms, we shall have the right to indefinitely suspend or terminate or block access to POP UPI services.

f) You agree that POP UPI, PSP or any other system participant in UPI ecosystem shall not be liable for any delay in the completion of the funds transfer or any loss on account of error in the execution of the funds transfer by you.

g) You are required to ensure availability of sufficient funds in UPI linked bank account(s) in order to avoid transaction declines and charges if any accessed by Your issuer bank.

5.2 We may review your activity and transactions on the Platform for identifying high risk transactions. In case, transactions processed by you or any other activity that we believe may be suspicious or unusual, we may temporarily or permanently suspend your access to the UPI services on the App. We further reserve the right to investigate and may suspend or terminate your account, and report the transaction and your account details to legal enforcement agencies or other regulatory authorities as applicable or notified by law.

6. UPI PARTICIPANT’S ROLES AND RESPONSIBILITIES

The roles and responsibilities of each of the participants in the UPI ecosystem including NPCI, PSP bank(s) and TPAP (i.e. us) are defined by the NPCI on the following link: https://www.npci.org.in/what-we-do/upi/roles-responsibilities.

7. UPI LITE

7.1 UPI LITE TERMS AND CONDITIONS:

a) UPI Lite is a service enabled by the NPCI on POP UPI through which you can carry out low value transactions using an ‘on-device’ wallet (“UPI Lite”). These UPI Lite Terms and Conditions (“UPI Lite Terms”) apply to and govern the UPI Lite feature enabled by NPCI on the App. Please read these UPI Lite Terms carefully before accessing or using UPI Lite. You acknowledge that by enabling and/or using UPI Lite on the App, you have read, understood and agreed to be bound by the UPI Lite Terms.

b) In order to enable UPI Lite, you shall be required to click/tap on the specific section on the App and add funds into the UPI Lite. By clicking/tapping on the specific section on the App, you provide your consent to enable the UPI Lite. The funds can be added only via your bank account linked to UPI Lite on the App using your UPI PIN. You shall be able to track the status of each transaction via UPI Lite on the App. Any amount added to the UPI Lite shall be non-interest bearing. In order to make payment via UPI Lite, You shall not be required to enter a UPI PIN. However, there would be limits that would be applicable with respect to the transactions via UPI Lite. Transaction Limits: Every transaction using UPI Lite shall be limited to a maximum of INR 500. The cumulative value of all transactions using UPI Lite in a day shall be limited to a maximum of INR 4000. The maximum balance that can be held in the UPI Lite at one point in time shall be limited to INR 2000 The above stated transaction limits may be modified without any prior notice.

7.2 Transaction Limits:

a) Every transaction using UPI Lite shall be limited to a maximum of INR 500.

b) The cumulative value of all transactions using UPI Lite in a day shall be limited to a maximum of INR 4000.

c) The maximum balance that can be held in the UPI Lite at one point in time shall be limited to INR 2000

d) The above stated transaction limits may be modified without any prior notice.

7.3 Disabling UPI Lite:

a) Before changing your mobile device, You must disable UPI Lite from such mobile device as per the steps prescribed on the App and move your UPI Lite available balance funds to your linked Bank Account. In case you fail to disable UPI Lite from your old mobile device, you can reach out to your issuer bank for moving your UPI Lite available balance to your linked bank account. We shall not be liable in this regard.

b) You shall have the right to disable the UPI Lite, at any time, by following the steps/procedure prescribed on the App. Once the UPI Lite is disabled, the balance funds shall be credited into your linked bank account.

c) Except as provided above, all terms provided with respect to POP UPI shall be applicable to UPI Lite. In case of a conflict between the terms under this section viz. UPI Lite and the Terms of POP UPI (excluding the UPI Lite section), the terms under this section shall prevail. Any disputes with respect to the transaction(s) authorized using UPI Lite shall be dealt with as per the process applicable for POP UPI.

8. CONSENT FOR BIOMETRIC AUTHENTICATION


By enabling biometric authentication for POP UPI on the POP App ("App"), you provide your voluntary, explicit, and informed consent to use the biometric credentials configured on your personal device (such as fingerprint or facial recognition) for authorizing UPI transactions through POP UPI, facilitated by POPtech Growth Private Limited ("Company", "we", "us", "our") and our sponsor Payment Service Provider ("PSP") bank, Yes Bank Limited.
Please read this consent carefully before enabling biometric authentication. By proceeding, you acknowledge that you have read, understood, and agreed to the terms set out herein.


8.1 On-Device Processing Only
Your biometric information is processed exclusively by your personal device using its built-in hardware security mechanisms. The Company, our PSP bank(s), NPCI, or any other participant in the UPI ecosystem does not access, collect, store, or transmit your biometric data in any form whatsoever. All biometric processing is governed solely by your device's operating system and its associated security framework.


8.2 No Biometric Data Sharing
Your biometric data is not shared with the Company, Yes Bank Limited, NPCI, or any third party at any point during the authentication process. Your biometric data remains fully under the control of your device's operating system and is not accessible to any participant in the UPI ecosystem, including NPCI.


8.3 Device-Level Access Risk
You acknowledge and understand that any individual whose biometric credentials are enrolled on your device may be able to authorize UPI transactions through the App. The Company shall not be responsible for any unauthorized transactions arising as a result of shared or unsecured device access. You are advised to review Section 5 (User Responsibility & Obligations) of the UPI Terms for further details on your responsibilities with respect to device and account security.


8.4 User Responsibility
You are solely responsible for:
a) Managing biometric enrolments on your device and ensuring that only your own biometric credentials are enrolled for the purpose of authorizing POP UPI transactions;
b) Maintaining the security of your device, including implementing appropriate access controls and device lock mechanisms;
c) Understanding and accepting the risks associated with the use of shared or unsecured devices for the purpose of authorizing UPI transactions; and
d) Ensuring that your UPI PIN and other account credentials remain confidential at all times. Please note that the Company will never approach you for your UPI PIN.
In the event of any unauthorized transaction arising from your failure to secure your device or biometric credentials, the Company, our PSP bank(s), and NPCI shall not be held liable for any resulting loss or damage.


8.5 Right to Withdraw Consent
You may withdraw this consent at any time by disabling biometric authentication through the App settings. Upon withdrawal of consent, UPI transaction authorization will revert to an alternate supported authentication method, including but not limited to your UPI PIN. Withdrawal of consent shall not affect the validity or enforceability of any transactions previously authorized using biometric authentication prior to such withdrawal.


8.6 Grievances
In the event you have any complaints or concerns in relation to biometric authentication or POP UPI services, you may raise a query through the App or contact our Customer Delight Team at support@popclub.co. For escalation, please refer to the Dispute & Grievance Redressal Mechanism set out in the UPI Terms.


8.7 Governing Law
This consent and any disputes arising in connection herewith shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, in accordance with the Governing Law provisions of the Terms of Use of the Platform.
By proceeding to enable biometric authentication, you confirm that you have read, understood, and voluntarily agreed to the terms of this consent, including the risks, benefits, and limitations associated with biometric authentication for POP UPI.

9. DISPUTE & GRIEVANCE

9.1 We shall be the first point of contact for all UPI related grievances/complaints for customers on-boarded by us and you may raise a query in relation to the same on the App.

9.2 In case the complaint/grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where You maintain the account) and NPCI. If your complaint still remains unresolved, you may approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.

9.3 Dispute Redressal Mechanism:

a) The complaint can be raised for both the types of transactions i.e. fund transfer and merchant transactions.

b) We shall ensure that you are updated on the status of your complaints raised with us through the App or any other means such as available with us.

10. UPI SPECIFIC INDEMNITY & LIMITATION OF LIABILITY

10.1 Notwithstanding any other indemnity as provided by you in these Terms, you agree to indemnify, defend and hold harmless POPtech Growth Private Limited from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by POPtech Growth Private Limited that arise out of, result from, or may be payable by virtue of, any breach of any obligation to be performed by you pursuant to these Terms, or your use of the POP UPI, App or Platform, or any third party claims arising from any transaction made utilizing POP UPI.

10.2 In no event shall POPtech Growth Private Limited and its officers, directors, employees, partners or vendors be liable to you, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not POPtech Growth Private Limited has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of the use of or inability to use the POP UPI payment facility. The maximum aggregate liability of the Company for any claims arising from these Terms shall be INR 5000.

11. DISCLAIMERS

11.1 You understand that the terms of availing of UPI payment facility using NPCI Platform, PSP and the Company shall not create any contractual obligation against any NCPI system participants and downloading or using the App does not automatically entitle you for POP UPI payment facility.

11.2 We do not make any warranties and make no representation about the quality and availability of UPI payment facility. The App and POP UPI services are provided on an “as is” basis without any representation or warranties, express or implied except otherwise specified in writing. We are not responsible for any loss or damage that you may suffer as a result of using the service.

11.3 Your transaction records and other logs maintained with us shall be final and binding as a proof of this facility and transactions

POP RECHARGES & BILL PAYMENTS

INTRODUCTION

The following terms and conditions ("Recharges & Bill Payments Terms") are specific to the use of the recharge and bill payment product introduced by POPtech Growth Private Limited (“our”, “us”, “we”, “Company”, or “POP”)  in partnership with its authorised Bharat Bill Payment System (BBPS) operating unit and/or other payment partners, which allows customers/users (“you" or “user”) to make bill payments from various billers or undertake prepaid mobile recharges and subscription payments, including but not limited to mobile prepaid/postpaid operators, credit card issuing banks and other billers (collectively, "Recharges & Bill Payments").

All users accessing the Recharges & Bill Payments screen or using Recharges & Bill Payments shall be deemed to have read, understood and agreed to be bound by these Recharges & Bill Payments Terms, in addition to the general POP App Terms and Conditions and the privacy policy available at https://popclub.co/privacy-policy.

ELIGIBILITY

POP shall make Recharges & Bill Payments available to some or all users at its sole discretion. POP may also suspend, withdraw or discontinue offering Recharges & Bill Payments for any POP user or category of users at its sole discretion, without prior notice.

INFORMATION ACCESS, BILLER DATA and DISCLAIMERS

a. Access to emails, SMS and communications

By accessing the Recharges & Bill Payments screen or using Recharges & Bill Payments, you hereby agree that POP may access emails and/or SMS received by you, or communications regarding billers, bill reminders and bill payment confirmations, in order to identify the billers that you interact with ("Relevant Billers"), subject to you having enabled such email access and/or granted SMS read permissions to the application provided by POP (the “POP App”). You acknowledge that you may not be able to use Recharges & Bill Payments, in whole or in part, without granting the aforesaid permissions.

b. Fetching and displaying bill information

You agree that upon identification of Relevant Billers, POP may, from time to time, fetch bill details, outstanding dues, due dates and payment status relating to your accounts with the Relevant Billers, either directly from such Relevant Billers and/or through the BBPS payment system or other authorised intermediaries. POP may display such information to you on the POP App and/or send you reminders or notifications in relation to your outstanding dues payable to such Relevant Billers. POP is not liable in any way whatsoever in case of any any erroneous or incorrect information from such Relevant Billers and/or through the BBPS payment system.

c. Managing billers

In the event that you wish to stop receiving updates or reminders in relation to a Relevant Biller identified by POP, you may archive or remove such Relevant Biller using the POP App. You may also add a new biller that is not automatically identified by POP by manually inputting the relevant biller details and your associated account or consumer information within the POP App.

d. Accuracy of information

You understand and acknowledge that while POP undertakes reasonable and best efforts to ensure the accuracy of the information displayed on the POP App in relation to Recharges & Bill Payments, such information may be derived from third-party sources including billers, BBPS systems, emails, SMS or other communications, and may not always be accurate, complete or error-free. POP does not guarantee the correctness, completeness or timeliness of such information and shall not be responsible for any discrepancies arising from incorrect or delayed data received from third parties.

e. Use of bureau and third-party data

You understand and acknowledge that POP may also use credit bureau data and/or other third-party data sources, where applicable, to fetch bill details and payment status in accordance with applicable laws and regulatory guidelines, including guidelines issued by the Reserve Bank of India.

BILL PAYMENTS

a. Enabling payments

POP shall enable you to pay your dues (including additional or partial amounts, where permitted) to billers using the payment methods made available on the POP App from time to time.

b. Processing of payments

POP shall process a bill payment to the relevant biller only after POP has successfully received the payment amount from you through the selected payment method.

c. Payment instructions

You acknowledge that POP shall act solely on the basis of the payment instructions provided by you on the POP App and shall not be responsible for any incorrect payments arising due to erroneous information provided by you.

d. Delays, suspension or rejection of transactions

While POP undertakes its best efforts to process payments as directed by you at the earliest, POP may delay, suspend or reject any transaction or payment for any reason whatsoever, including without limitation where such transaction is suspected to pose a financial or security risk, is unauthorised, fraudulent, suspicious or unlawful, or is in violation of applicable laws, regulatory requirements, these Recharges & Bill Payments Terms or otherwise appears unusual in any manner.

e. Service charges

POP may levy service charges or convenience fees for any Recharges & Bill Payments transaction. Any such charges, if applicable, shall be clearly displayed to you on the transaction screen prior to initiation of the payment.

f. Biller-side delays

You agree that POP shall not be liable for any delay in credit of bill payments arising due to issues or delays at the biller’s end or any other third parties who are involved in the provision of the Recharges & Bill Payments. POP recommends that you initiate bill payments sufficiently in advance of the due date to avoid any late payment charges, penalties or consequences levied by the biller.

INFORMATION INPUT

a. Accuracy of user-provided information

You are solely responsible for all information input by you while using the POP App, including while availing Recharges & Bill Payments. You are responsible for ensuring that all biller, account and payment details provided by you are true, accurate, complete and up to date.

b. Responsibility for correctness of details

In particular, you are responsible for ensuring the correctness of (i) biller details and/or bill account or consumer numbers; (ii) details of the selected payment instrument (including selection from any saved payment instrument); and (iii) the amount of payment. In the event any such details are input incorrectly by you, you shall be solely responsible for the resultant transaction and any charges, losses or consequences arising therefrom. POP may, at its sole discretion and without any obligation to do so, assist in reversing such transactions if technically feasible and operationally viable.

c. Additional information and verification

POP may, from time to time, require you to provide additional information or documentation (including bill copies or supporting documents) to verify underlying transactions. In the event you fail to provide such information when requested, you may be restricted from using Recharges & Bill Payments. Further, where any transaction appears suspicious or unusual, POP may seek additional documentation, and failure to provide the same within stipulated timelines may result in transaction failure and/or suspension of access, at POP’s sole discretion.

POPCOINS DISCOUNTS & OFFERS

a. Use of POPcoins for discounts

POP may, at its discretion, allow eligible users to utilise POPcoins to avail discounts, cashback or benefits on certain recharge and/or bill payment transactions made through the POP App ("POPcoins Discounts"). The availability, applicability and extent of such POPcoins Discounts shall be determined solely by POP and may vary across users, billers, payment categories, transaction amounts or time periods.

b. No entitlement or guarantee

You acknowledge and agree that POPcoins Discounts are promotional in nature and do not constitute a right, entitlement or guaranteed benefit. POP does not guarantee that POPcoins Discounts will be available for all recharge or bill payment transactions, or that any specific discount value or benefit will continue to be offered.

c. Modification, withdrawal or discontinuation

POP reserves the right, at any time and without prior notice, to modify, limit, suspend or withdraw, in whole or in part, any POPcoins Discounts, including changing eligibility criteria, discount values, usage caps, applicable categories or stopping the use of POPcoins for discounts on recharge and/or bill payment transactions entirely.

d. Additional conditions

POPcoins Discounts may be subject to additional terms, conditions, usage limits or restrictions as may be communicated on the POP App from time to time. In the event of any conflict between such specific terms and these Recharges & Bill Payments Terms, the specific terms relating to the POPcoins Discounts shall prevail.

DISCLAIMERS

a. Third-party infrastructure and availability

Recharges & Bill Payments are provided by POP through authorised third-party aggregators and/or through the Bharat Bill Payment Operating Unit (BBPOU) infrastructure where the relevant biller is registered with NPCI for bill payments. Accordingly, Recharges & Bill Payments may be unavailable, delayed or impacted due to downtime, technical issues or failures attributable to such third-party partners, intermediaries or infrastructure.

b. No reversal after initiation

Once a payment has been initiated by you, it cannot be reversed or cancelled, except as expressly permitted under applicable laws or BBPS rules. POP shall not be liable for any loss, damage or consequence suffered by you as a result of a transaction carried out in accordance with the instructions issued by you.

c. No guaranteed timelines

POP does not guarantee any timelines for credit or settlement of payments to billers or counterparties. Any timelines displayed on the POP App or communicated to you are indicative in nature and shall not be construed as guarantees.

d. Best-effort processing

While POP undertakes reasonable efforts to facilitate processing of payments, POP does not warrant uninterrupted or error-free operation of Recharges & Bill Payments and shall not be responsible for delays or failures caused by factors beyond its control. POP does not make any warranties and make no representation about the quality and availability of Recharges & Bill Payments facility. The POP App and the Recharges & Bill Payments services are provided on an “as is” basis without any representation or warranties, express or implied except otherwise specified in writing. POP is not responsible for any loss or damage that you may suffer as a result of using the service.

INDEMNIFICATION

a. No responsibility for third-party disputes

You agree not to hold POP responsible and/or liable for any issue, claim, loss or dispute arising out of or in connection with any dispute whatsoever between you and any biller, payment gateway, bank, financial institution or counterparty, including the BBPS system.

b. Indemnity obligation

You agree to indemnify, defend and hold harmless POP, its affiliates, directors, officers, employees and partners from and against any and all third-party claims, demands, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with payments made or attempted to be made by you (or any other person using your account) through Recharges & Bill Payments.

c. Limitation

In no event shall POP and its officers, directors, employees, partners or vendors be liable to you, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not POP has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of the use of or inability to use the Recharges & Bill Payments payment facility. The maximum aggregate liability of POP for any claims arising from these Recharges & Bill Payments Terms shall be INR 5000.

LOYALTY PROGRAM

1. Upon signing up on the Platform, the user agrees to be enrolled in the loyalty program of the Platform. Under  the POP loyalty program, the enrolled user will be able to earn virtual POPcoins in accordance with the Terms. Each enrolled user will earn POPcoins into the user’s POP account on use of the Platform such as on purchase of specified products on the Platform, use of POP UPI etc., as may be determined by the Company from time to time.

2. The criteria of the value of the POPcoins that could be earned by one user to another user on purchase of specific product on the Platform, use of POP UPI/ Platform may vary depending upon the factors and criteria as determined by the Company at its sole discretion. The Company shall at its sole discretion identify products/ features in Platform eligible for users to earn POPcoins and notify the users/ tag and/or use other indicators, as determined by the Company, on such products from time-to-time.

3. Enrolled user upon receipt of POPcoins onto his/ her POP account shall be eligible to redeem POPcoins on the Platform as determined by the Company from time to time. The user may redeem the POPcoins on the Platform to avail discount on user’s subsequent purchase of products on the Platform. The maximum amount of POPcoins that can be redeemed by the user on each such subsequent purchase shall be solely determined by the Company basis the cart value and other criteria.

4. The POPcoins can be redeemed by the user to avail discounts on third-party website/ mobile application authorized by the Company from time to time. The terms of usage of POPcoins on third-party website/ mobile application are governed by terms and conditions of such third-party website/ mobile application and we are not liable for any claims arising therefrom in any manner whatsoever.

5. The users can view the particulars of the POPcoins in their user account which includes the status of active/ expired POPcoins, transactions records amongst others.

6. You acknowledge that POPcoins are non-transferrable and cannot be converted to cash or any material or anything of monetary value. You further acknowledge that the POPcoins earned vide the loyalty program can only be used to avail additional discounts on user’s subsequent purchase(s) or as per these Terms and cannot be solely used for purchase of products on the Platform in lieu of cash.

7. POPcoins credited to your account will expire after one (1) year from the date on which they were credited to your POP account, unless specified otherwise. The value of expired POPcoins will be reduced from the user’s POP account at the date of expiry of such POPcoins. The expiry period of POPcoins shall remain unaffected on account of returns/ cancellations of the products purchased by users redeeming POPcoins. Any change in expiry of the POPcoins is on the discretion of the company and The company reserved the right to change it anytime without any prior notice.

8. The Company reserves the right to disqualify you from earning/ using any POPcoins if any fraudulent activity or abuse of the POPcoins and/ or loyalty program system is identified or if you have violated any Terms or applicable laws and, in such event, we may blacklist your POP account. Disqualification may result in immediate cancellation of all POPcoins earned or pending to be earned by you on your POP account, without any liability whatsoever on the Company. The decision of the Company with respect to disqualification shall be final and binding on the user.

9. The Company reserves the rights to amend, modify the terms of use of POPcoins, the loyalty program or suspend POPcoins / POP membership at any time, without notice and without assigning any reason. We disclaim all liability that may arise or any losses that you may incur in connection with or arising out of the loyalty program/ POPcoins.

10. Terms of Loyalty Program for E-Commerce:

10.1 POPcoins will be credited in your POP account only after the expiry of the return or exchange period of the specified products. In the event that replacement of any of the specified products is requested by the user, POPcoins will be credited to the user’s account, only after the expiry of the return or exchange period of such replaced products.

10.2 In the event when the user cancels or returns the entire order of the products purchased redeeming the POPcoins, the entire value of such POPcoins redeemed on such order shall be returned and credited to the user’s POP account. In the event, when the user cancels or returns only certain purchased products for which the user has redeemed POPcoins, then, the proportionate value of POPcoins that were redeemed on such returned or cancelled products, as applicable, shall be returned and credited to the user’s POP account. The validity of returned and credited POPcoins shall remain unchanged and have the same validity period as applicable on the date of original credit of such POPcoins.

CASHBACK ZONE

1. Expiration of UPI Cashback

Any cashback credited to the User’s account in relation to UPI transactions or any other cashback program like POP Refer & Earn, but not limited to, is subject to an activity requirement. If the User fails to complete a valid UPI transaction on the Platform for a continuous period of thirty (30) days following the date of the last cashback credit, all accumulated and unutilized cashback shall automatically expire and be forfeited.


2. Bonus Validity

Any amount credited to the User as a "Bonus" (distinct from standard cashback) carries a strict validity period of thirty (30) days from the date of credit. If the Bonus amount is not withdrawn or utilised within this thirty (30) day period, it shall be automatically cancelled and deducted from the User’s account balance.


3. Modification of Program Terms

POP reserves the absolute right to modify, amend, suspend, or discontinue the "Cashback Zone" program and its associated Terms and Conditions at any time, with or without prior notice. POP’s decision regarding the interpretation of these rules, including eligibility and forfeiture, shall be final and binding.

YESBANK POP-CLUB  CREDIT CARDS TERMS AND CONDITIONS

1. Introduction

1.1 This Co-Branded Credit Cards Terms and Conditions shall apply to the any users who successfully apply for the YESBANK POP-CLUB CO-BRANDED CREDIT CARD, which is issued by YESBANK (“Bank”) and POPtech Growth Private Limited in compliance with applicable Reserve Bank of India (“RBI”) regulations (“Credit Card”).

1.2 The Credit Card shall make any registered user of POP eligible to avail rewards by undertaking transactions/purchases using the Credit Card, which can be redeemed by the user for eligible purchases from the Platform or against any reward which the company is offering to the customers (“Rewards”). You hereby acknowledge that the Company shall at its sole discretion identify products eligible for users to redeem Rewards and notify the users/ tag and/or use other indicators, as determined by the Company, on such products from time-to-time.

2. General Terms

2.1 Your application for issuance of the Credit Card will be approved or declined at the sole discretion of the Bank based on the Bank’s internal criteria and rules and completion of KYC requirements. The Company will only act as a co-branding partner of the Bank and an intermediary between the Bank and the user to facilitate marketing/distribution of the Credit Cards and providing access to the products on which Rewards may be availed by the user subject to this Co-Branded Credit Cards Terms and Conditions.

2.2 The Company does not make any representations, warranties or guarantees in relation to approval or decline of user’s Credit Card application by the Bank. Your use of the Credit Card will be governed by the terms and conditions communicated to you by the Bank and any other terms that the Bank may notify from time to time.

2.3 The user may access Banks’ terms and conditions for issuance and use of Credit Cards at :https://www.yesbank.in/personal-banking/yes-individual/cards/credit-cards/pop-club-credit-card. The Company being an intermediary, disclaims any and all liabilities in relation to the credit transactions or any arrangement between you and the Bank. By agreeing to the Co-Branded Credit Cards Terms and Conditions you unconditionally release and completely discharge the Company and/or its affiliates against any claims in connection with the Credit Card, and all such claims (if any) will lie only against the Bank. In addition to the foregoing, you shall also be bound by the terms of use of the Platform, Privacy Policy, terms by the vendor or additional terms of service which are displayed with the selection of the product.

2.4 The Company and the Bank may collect and use your data, including personal or sensitive personal data or information, for the purpose of issuance of the Credit Card and providing any Credit Card related services. By agreeing to the Co-Branded Credit Cards Terms and Conditions you consent to sharing your information for the foregoing purposes and for the Company to share such data or information with the Bank.

2.5 You are solely responsible for the safety and security of the Credit Card. The Company is not responsible for any acts or omission if the Credit Card is lost, stolen or used in an unauthorized manner, with or without the permission or knowledge of the user. The Company will not be liable for any loss or damage suffered by you on account of the use of the Credit Card or any dispute arising out of or in connection with your use of the Credit Card.

2.7 If your complaint does not get satisfactory response from the Bank within a maximum period of 30 days from the date of lodging the complaint with the Bank you may approach the Office of the RBI Ombudsman under Integrated Ombudsman Scheme for redressal of your grievances.
